Bid # AVS2021. Zones, LLC (“Zones”) agrees to the terms and conditions set forth in the accompanying bid expressly conditioned on the customer’s agreement that; (1) if any terms and conditions require that Zones provide any warranty, indemnification, defense or other protection or performance requirements with respect to any hardware or software offered hereunder, Zones is only obligated to pass through to the customer (and to provide commercially reasonable facilitation of claims with respect to) any manufacturer or publisher commitment to provide the applicable warranties, defense, indemnification, or other protection or performance requirements; (2) any return of products shall be in accordance with Zones’ return policy at www.zones.com/returnpolicy; (3) Zones will make commercially reasonable efforts to meet any delivery times, but is not responsible to the extent of any circumstances beyond its control, including but not limited to, a force majeure event or product unavailability; (4) title to software shall at all times remain with the publisher, and the end user’s rights thereto are as set forth in the applicable end user license agreement between the end user and the publisher; (5) products that are not rejected upon delivery are deemed to be accepted; (6) while Zones attempts to offer competitive prices, it does not offer, and does not agree to post-bid price adjustments including those based on prices offered to other customers, sometimes referred to as “most favored customer” pricing; (7) ZONES DISCLAIMS ANY AND ALL REPRESENTATIONS AND WARRANTIES, INCLUDING THOSE OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE, EXCEPT THOSE ASSOCIATED WITH ITS OBLIGATIONS TO COMPLY WITH ANY APPLICABLE LAWS AND REGULATIONS; (8) THE MAXIMUM LIABILITY OF EITHER PARTY SHALL BE THE AMOUNT PAID OR PAYABLE TO ZONES FOR THE PRODUCT(S) OR SERVICE(S) GIVING RISE TO THE CLAIM; AND (9) EXCEPT AS OTHERWISE AGREED BY ZONES, SOFTWARE PURCHASED HEREUNDER IS LICENSED DIRECTLY BY THE PUBLISHER TO THE CUSTOMER AND IS SUBJECT TO A SEPARATE END USER LICENSE AGREEMENT BETWEEN PUBLISHER AND CUSTOMER. | ||||||||||||||||||||||||
