Notwithstanding anything to the contrary in the RFP, the attached Master Services Agreement governs any ESC member order for the solution described in this response; 2. Notwithstanding anything to the contrary in the RFP, including the sections entitled 2.3.16 Guarantee (p. 7), 2.3.20 Contracts (p. 7), and 3.5 Warranties (p. 10-11), NWEA preserves the opportunity to negotiate the final form of any express or implied warranties included in any contract resulting from the RFP. As an alternative to the provision noted in the preceding sentence, NWEA offers the warranty noted in Appendix A, Master Subscription Agreement; 3. Notwithstanding anything to the contrary in the RFP, including the sections 3.2.3 (p. 9) and 3.4 Use of Special Tools (p. 10), NWEA licenses access to the proposed solution (instead of passing title to it) and preserves the opportunity to negotiate any terms relating to the ownership of intellectual property. Additionally, no custom tooling or development is contemplated in the full delivery of the NWEA solution. As an alternative to the RFP provisions noted in this item 3, NWEA offers the license noted in Appendix A, Master Subscription Agreement; and 4. Notwithstanding anything to the contrary in the RFP, including the section 3.5.4 (p. 10-11) and, NWEA preserves the opportunity to negotiate the final form of any indemnity, hold harmless or defense obligation included in the contract resulting from the RFP. As an alternative to the provision noted in the preceding sentence, NWEA offers the indemnification noted in in Appendix A, Master Subscription Agreement.
