These terms are for the products listed on the following catalog: 2022-2023 Scholastic Library Publishing. 3. Discounts & Pricing, Paragraph 2.2.1.a-New catalogs become available annually in the month of July and may include price changes. The discount percentage will remain firm for the length of the contract. Library processing specifications and costs are subject to change. 4. Indemnification, Page 25-Add “third party” before “claims”. 5. Warranties, Paragraph 3.3.45, Page 19-Add: The Vendor certifies that during the period between the Contract submission date and the completion of the term of this Contract, should Vendor offer prices more favorable than those quoted herein, or provide changed prices more favorable than those quoted herein under a contract in effect at the contract submission date with any similarly sized school district in the United States, for the same or substantially similar items, and the same or substantially similar quantity of item(s), and for the same or substantially similar contractual time period, then the Vendor shall immediately thereafter notify Region 7, provided that such notification requirement shall be subject to the reasonable limitations of Vendor’s systems and processes to track any offer which may be deemed to be more favorable. Regardless whether such notice is sent by the Vendor or received by Region 7, if the foregoing conditions apply, this Contract shall be deemed amended, retroactively to the effective date of the more favorable treatment, to provide the more favorable prices. 6. Property Rights, Paragraph 3.3.31, Page 17-Add: “Intellectual Property” shall mean all intellectual property including without limitation trademarks, copyrights and other rights in and to materials owned or controlled by Region 7 and/or all materials not specifically commission as work-for-hire under this Agreement for the Cooperative. No rights in and to the Intellectual Property shall be owned or controlled by the Cooperative at any time. Respondent grants Region 7 the right to use the Intellectual Property during the Term of this Agreement in accordance with the terms and conditions hereof. To the extent that Respondent’s name and/or trademarks are included in any work product, Region 7 is only allowed to use such name and/or trademarks as they appear in the work product, and any other use must be approved by Respondent in writing.
